What your future may hold

As a member of the legal team, you will accompany Cobepa’s growth in close collaboration with the Head of Legal & HR and the Legal Director.
You will contribute significantly to the legal internal corporate and compliance function of the Cobepa group and provide transaction support to the investment team (in particular on US transactions).

Corporate

  • Efficiently manage internal corporate transactions:
    • Draft  intragroup agreements, including share purchase agreements, pledge agreements, shareholder loan agreements, service agreements, etc.;
    • Manage incorporation and liquidation of companies, capital increases, cross-border transfers, etc.;
  • Lead the implementation of some of the incentivization programs;
  • Keep all internal group companies in good standing:
    • Update templates in line with changing legislation
    • Prepare board and shareholders’ meeting minutes, including appointments and resignations of directors and auditors;
    • Manage Cobepa’s corporate timeline;
    • Assist in reporting to the Audit Committee;
  • Manage internal policies.

Transaction support

  • Assist Head of Legal and Legal Director in providing legal transaction support to the investment team (in particular on US transactions);
  • Take care of creation of SPV’s, manage capital increases, (re-)negotiation of shareholders’ agreements, negotiation of share purchase agreements;
  • Prepare signings and closings;
  • Incorporate SPV’s;
  • Manage requests from regulatory authorities;
  • Assist Head of Legal and Legal Director in post-closing interactions with portfolio companies (adds on, renegotiation of management incentive package, renegotiation or renewal of shareholders’ agreement…).

Compliance

  • Manage Cobepa’s compliance status;
  • Conduct customer due diligence when needed;
  • Roll-out of new policies;
  • Reporting to the Audit Committee.

Other

  • Contract review & ad hoc legal and tax analysis;
  • Litigation support when relevant;
  • Increase efficiency of legal operations via the implementation of new tools.

Your skillset

  • Master’s degree in law;
  • At least 4 years of relevant experience, preferably in an international or high-standard setting;
  • Excellent English language skills with a good command of French, knowledge of Dutch or other languages (German, Italian,…) is a plus;
  • Highly interested in working in the private equity industry;
  • Excellent and confident communication skills, both written and oral;
  • Interest or experience in tax is a plus;
  • Motivated, ambitious and collaborative personality;

  • Resilient and able to work in a demanding work environment.
